By accessing, registering for, subscribing to, or otherwise using DP Nexus, you acknowledge that you have fully read, understood, and agreed to all terms of this Agreement. If you do not agree with any part of this Agreement, please stop using the Service immediately.

Chapter 1: General Provisions

Article 1: Definitions and Interpretations

DP Nexus: Refers to the network infrastructure and technology service platform provided by DP Nexus, including but not limited to Clean IP Proxy, Full Range of Dedicated Servers, and Private Cloud Solutions.

User: Refers to any individual, legal entity, or other organization that accesses, registers for, subscribes to, or uses the DP Nexus Service in any manner.

Service: Refers to the proxy IP, server leasing, cloud resources, and related technical support provided by DP Nexus to users based on its own or partnered infrastructure.

Account: Refers to the unique account obtained by a user after completing registration to use the Service.

Article 2: Scope of Service

The Service aims to provide users with stable, secure, and high-performance global network infrastructure resources, including but not limited to Clean IP Proxy, Full Range of Dedicated Servers, and Private Cloud Solutions.

We reserve the right to update, adjust, suspend, or terminate some or all services at any time based on market changes, technological developments, or operational strategies. We will notify users in advance via announcements on the website or other reasonable means.

Users understand and agree that service performance may vary due to uncontrollable factors such as network environment, regional restrictions, and carrier failures.

Chapter 2: User Registration and Account Security

Article 3: User Eligibility

Users must have full capacity for civil conduct. If you are a minor, please use the Service under the guidance and with the consent of your legal guardian, who shall be responsible for your actions.

You warrant that your registration information (including but not limited to name, email address, and payment information) is true, accurate, and complete, and you are obligated to update this information promptly if it changes.

Article 4: Account Security and Responsibility

The ownership of the account belongs to us, and the user only has the right to use the account. The account is for personal use only and may not be transferred, lent, rented, shared, or sold in any way.

You are fully responsible for all activities that occur under your account.

You are obligated to safeguard your account and password information properly. You shall bear all losses resulting from poor safekeeping, such as account theft or password leaks.

Chapter 3: Usage Rules and Prohibited Acts

Article 5: Prohibited Acts

When using the Service, the User must comply with all applicable laws and regulations, and is strictly prohibited from engaging in the following:

Violation of Laws and Regulations: Engaging in any activity that violates the laws of your jurisdiction or Hong Kong, including but not limited to spreading illegal information, organizing gambling, committing online fraud, or making inflammatory remarks.

Endangering Network Security: Conducting any form of network attack, port scanning, spreading malware or viruses, launching DDoS attacks, or any other activity that compromises network security.

Infringing on the Rights of Others: Infringing upon the intellectual property rights, privacy rights, reputation rights, or any other legitimate rights and interests of others.

Abuse of Resources: Sending spam, engaging in large-scale illegal data scraping, or excessively occupying bandwidth or server resources, thereby affecting service stability and the experience of other users.

Unauthorized Access: Attempting to bypass technical restrictions to access unauthorized data or systems.

Chapter 4: Service Fees and Refunds

Article 6: Billing and Payment

Some functions of the Service are paid items. The specific fees, package types, and payment methods are subject to the latest information published on the official DP Nexus website.

Users must ensure their payment information is true, legal, and valid. The User shall be responsible for any payment failures or disputes arising from incorrect information.

The refund policy is subject to this Chapter 4 and the official Refund Policy page. Except where explicitly required by law or expressly promised by us, paid service fees will not be refunded.

Chapter 5: Intellectual Property and Disclaimer

Article 7: Intellectual Property Rights

DP Nexus and its related trademarks, service marks, website interface, software code, documentation, and all related intellectual property rights belong to us and our legitimate rights holders.

Without our written authorization, the User may not copy, modify, disseminate, sell, or use any part of the Service in any form.

Article 8: Disclaimer

As Is” Service: The Service is provided on an as is” and as available” basis. We make no express or implied warranties, including but not limited to the continuity, error-free nature, security, or suitability for a particular purpose of the Service.

Force Majeure: We shall not be liable for service interruptions, data loss, or any other losses caused by force majeure (such as natural disasters, government actions, war), failures of third-party service providers, failures of network operators, or other factors beyond our reasonable control.

Third-Party Risks: Any risks, losses, or liabilities incurred by a User from accessing third-party websites or content through the Service shall be borne by the User alone.

Indemnification: If we or our affiliates suffer any losses due to your illegal acts, breach of this agreement, or infringement of any rights of others, you agree to fully compensate us.

Chapter 6: Modification and Termination of Agreement

Article 9: Modification of Agreement

We have the right to modify the terms of this Agreement at any time based on operational needs, changes in laws and regulations, or business strategies. The modified Agreement will be notified to the User through an announcement on the official website or other reasonable means.

If the User does not agree to the modified Agreement, they should immediately stop using the Service. Continued use of the Service will be deemed as acceptance of the modified terms.

Article 10: Termination of Agreement

If a User violates this Agreement, we have the right to immediately suspend or permanently terminate the Service to that User and delete their account without prior notice.

If the Service is suspended or terminated due to a Users breach, any paid service fees will not be refunded.

Chapter 7: Governing Law and Dispute Resolution

Article 11: Governing Law and Jurisdiction

The formation, validity, interpretation, performance, and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the Peoples Republic of China.

Any disputes arising from this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the competent court in the place of our registration.
